Shin & Kim LLC held a seminar titled "2026 regular shareholders meeting A to Z" ahead of the regular shareholders meeting season.
According to Shin & Kim LLC on the 11th, about 150 executives and employees from major domestic listed corporations attended the seminar held the previous day at the firm's office in Jongno-gu, Seoul. The session shared the latest shareholder activism trends and typical attack patterns, as well as a pre-meeting checklist and response strategies that corporations can put to immediate practical use.
Lee Dong-geon, an attorney (Judicial Research and Training Institute class 29) who leads Shin & Kim LLC's corporate governance strategy center, said, "This year is the year before the full-fledged implementation of the amended Commercial Act, which strengthens directors' duties of loyalty, mandates cumulative voting, and introduces the 3% rule (limiting the voting rights of controlling shareholders and special affiliates such as family members to a combined 3%), thereby reinforcing director accountability and checks on controlling shareholders," adding, "Corporations' preparations for shareholders meetings are expanding beyond mere procedural management into a domain of strategic and systematic risk management."
At the seminar, attorney Choi Myeong (4th bar exam), who has broadly handled advisory and litigation work on hostile mergers and acquisitions (M&A) of major domestic corporations and has published extensively in management control disputes, gave a detailed explanation of essential agenda items for regular shareholders meetings under the amended Commercial Act, focusing on the key points, under the theme "the landscape of the 2026 regular shareholders meeting."
Next, attorney Lee Su-gyun (class 36) presented on "the evolution of shareholder activism: attack patterns and response measures," introducing recent principal attack types by activist funds and institutional investors and practical responses. Attorney Kim Jin-su (5th bar exam) introduced "practical checklists and disclosure/IR strategies."
Meanwhile, the Shin & Kim LLC corporate governance strategy center launched in Jun. last year. It consists of attorneys and experts from diverse fields, with attorney Lee and attorney Lee Suk-mi (class 34) at the core.
