SK hynix said on the 25th that it will hold the 78th annual general meeting of shareholders on the 25th of next month at SK hynix headquarters in Icheon, Gyeonggi.
On the agenda are the appointment of inside and outside directors, approval of the financial statements, partial amendments to the articles of incorporation, approval of the limit on directors' remuneration, a reduction of capital surplus, and revisions to the rules on executive retirement benefits.
President Cha Seon-yong, who heads the Future Technology Research Institute at SK hynix, has been nominated as a new inside director at SK hynix. Cha served as head of DRAM development and has led the Future Technology Research Institute since 2022. He will take over the inside director role from President Ahn Hyun, head of development, who served as an inside director for the past two years.
Regarding Cha's nomination as a new director, SK hynix said, "We appointed him as an inside director to give CEO candidates opportunities to participate in major in-house decision-making so they can broaden their management perspective across the company," adding, "As the company's top technical expert, he is expected to help strengthen technology leadership in a time of rapid change."
For new outside directors, former Financial Services Commission Chairperson Ko Seung-beom and attorney Choi Kang-guk of Gaon Law Firm have been nominated. Ko previously served as a Commissioner on the Bank of Korea's Monetary Policy Board. SK hynix said the appointments aim to maintain and strengthen the company's financial soundness in the semiconductor industry, where large-scale investment is involved. Choi built expertise over 24 years in the United States in mergers and acquisitions (M&A), restructuring, and cross-border investment management. SK hynix explained that, as the company is pursuing a wide range of investments at home and abroad, Choi was nominated to strengthen capabilities in areas such as investment execution and management.
In addition, President Kim Jeong-gyu of SK Square, who will be appointed as an other nonexecutive director, is expected to support smooth decision-making by securing effective communication channels with the holding company. For the audit committee, the company plans to appoint Ko Seung-beom and new outside director Choi Kang-guk, along with existing outside director Kim Jeong-won, an adviser at KIM&CHANG.
