WINIX is seeking investors for a third-party paid-in capital increase for its wholly owned low-cost carrier (LCC) Parata Airlines. WINIX is pursuing a plan to bring in a new largest shareholder for Parata Airlines through this paid-in capital increase.
According to the investment banking (IB) industry on the 11th, WINIX has recently been in contact with a pool of potential investors for Parata Airlines' third-party paid-in capital increase. It is understood that no separate adviser has been appointed.
Parata Airlines is an LCC whose predecessor was Fly Gangwon. After WINIX, known for home appliances, acquired it in 2024, the company has pushed for normalization. About 115 billion won has been injected so far.
The paid-in capital increase is said to be driven by the view that it will be difficult for WINIX to inject additional funds into Parata Airlines. Because aircraft operations carry heavy fixed costs such as introduction and maintenance, staffing, and fuel, a large-scale capital infusion is inevitable in the early normalization phase.
Parata Airlines has continued to post losses even after resuming operations, increasing the burden of working capital. Last year's operating loss was 67.1 billion won, 4.5 times the previous year's operating loss (14.8 billion won).
WINIX had earlier considered raising funds through the issuance of convertible bonds (CB), but it reportedly did not proceed smoothly. As a result, the company has taken the bold step of a third-party paid-in capital increase premised on a change of the largest shareholder.
If the transaction is concluded, the proceeds from the paid-in capital increase are expected to flow into Parata Airlines. A significant portion of the funds is likely to be used to repay lending that WINIX extended to Parata Airlines. The lending provided by WINIX to Parata Airlines is known to be in the mid-40 billion won range.
An IB industry official said, "It is realistically difficult for WINIX to recover the entire investment it has already injected," adding, "for now, recovering even the lending appears to be the primary goal of this paid-in capital increase."
